Terms & Conditions

Last updated: 2 November 2026

These Terms & Conditions (“Terms”) apply to the use of the Webmaken website and to all services provided by Webmaken (“Webmaken”, “we”, “us” or “our”) to its clients (“you” or “the Client”). By accepting a proposal or paying an invoice, you agree to these Terms. If a signed proposal or agreement says something different, the proposal or agreement takes priority for that project.

1. Our services

Webmaken provides website design, website development, UI/UX design, CMS development (WordPress, Shopify, Webflow and Wix), SEO and social media optimisation (SMO), content production, Google Business Profile management and custom Shopify development. Each project is delivered on the basis of an agreed proposal.

2. Proposals and project scope

  • Before starting, we provide a written proposal or quote describing the scope, deliverables, estimated timeline and fees.
  • A project starts once you accept the proposal in writing (email is sufficient) and pay any required deposit.
  • Work not described in the proposal is out of scope. Additional requests can be quoted separately and will only be carried out after your approval.
  • Quotes are valid for [30] days unless stated otherwise.

3. Fees and payment

  • Projects are usually invoiced in stages: a deposit before work begins, followed by milestone payments and a final payment before launch or handover, as set out in the proposal.
  • Ongoing services such as SEO, content or Google Business Profile management may be invoiced on a recurring basis (for example, monthly) as agreed in the proposal.
  • Invoices are payable within [14] days of the invoice date unless otherwise agreed.
  • If payment is late, we may pause work until the outstanding amount is paid, and timelines will move accordingly.
  • Fees exclude third-party costs (such as themes, plugins, apps, fonts, stock images, domains, hosting and advertising spend) unless the proposal says otherwise.

4. Your responsibilities

To keep the project on track, you agree to:

  • Provide content (text, images, logos, product data) in the agreed format and on time, and confirm you have the right to use it.
  • Give us the access we need to platforms, hosting, domains and accounts, using secure methods.
  • Review work and give consolidated feedback and approvals within a reasonable time.
  • Nominate one main contact who can make decisions on your behalf.
  • Make sure your website content, products and policies comply with the laws that apply to your business.

5. Revisions and approvals

Each proposal states the number of revision rounds included at each stage. Once a stage is approved, further changes to that stage may be treated as additional work. Approval by email or through our project tools counts as written approval.

6. Timelines

Timelines in proposals are estimates based on the agreed scope and on receiving content, access and feedback on time. Delays in providing these, changes in scope or issues with third-party platforms may extend the timeline. We will keep you informed of any significant change.

7. Third-party platforms and services

Many projects rely on third-party platforms and tools, such as Shopify, WordPress and its plugins, Webflow, Wix, hosting providers, domain registrars, Google services and payment providers. Your use of these is governed by their own terms, pricing and policies. We are not responsible for their outages, price changes, policy changes, updates or the removal of features, and any work needed because of such changes may be charged separately. Custom Shopify apps must also comply with Shopify’s requirements, and we cannot guarantee approval of an app by Shopify.

8. Intellectual property

  • Once all fees for a project have been paid in full, ownership of the final deliverables created specifically for you (such as the final design files, custom code and written content) transfers to you, unless the proposal says otherwise.
  • Until full payment, all rights in the deliverables remain with Webmaken.
  • Third-party items (themes, plugins, apps, fonts, stock images, open-source code) remain subject to their own licences.
  • We keep ownership of our general tools, know-how, code libraries and methods that are not specific to your project, and grant you a licence to use them as part of your deliverables.
  • You confirm that any materials you provide do not infringe anyone else’s rights.

9. Portfolio use

Unless you ask us not to in writing, we may show the completed work (screenshots, a link to the live website and a short description) in our portfolio, on social media and in sales materials. We will never publish confidential information.

10. Confidentiality

Both parties agree to keep confidential any non-public business information received from the other during the project, and to use it only for the purpose of the project. This obligation continues after the project ends. It does not apply to information that is already public or must be disclosed by law.

11. SEO, marketing and results

Search engine rankings, traffic, reviews and sales depend on many factors outside our control, including search engine algorithms, competition and platform policies. We will apply recognised good practice, but we do not guarantee specific rankings, positions, traffic or revenue from SEO, SMO, content or Google Business Profile work.

12. Warranties and limitation of liability

  • We will carry out our services with reasonable care and skill. If you report a defect in our work within [30] days of launch or handover, we will fix it free of charge where the defect is caused by our work.
  • We do not guarantee that a website will be error-free or uninterrupted, or compatible with every browser, device or future platform update.
  • We are not liable for indirect or consequential losses, such as loss of profit, revenue, data or business opportunity.
  • Our total liability for any project is limited to the fees you paid for that project, except where the law does not allow liability to be limited.
  • You are responsible for keeping backups of your content and data, unless backup is included in a support agreement.

13. Maintenance and support

After launch, ongoing maintenance, updates, hosting management and support are not included unless set out in the proposal or a separate support agreement. Support requests outside an agreement can be quoted separately.

14. Termination

  • Either party may end a project by giving written notice if the other party seriously breaches these Terms and does not fix the breach within [14] days of being notified.
  • You may cancel a project at any time by written notice. In that case, you pay for all work completed up to the cancellation date and any third-party costs already incurred. See our Refund Policy for details.
  • Ongoing services may be cancelled with the notice period stated in the proposal.
  • On termination, we will hand over completed work that has been paid for.

15. Website use

The content of this website is provided for general information only. You may not copy, reproduce or misuse the website content without our permission. How we handle personal data is explained in our Privacy Policy.

16. Changes to these Terms

We may update these Terms from time to time. The version that applies to a project is the version in force when you accepted the proposal, unless both parties agree otherwise.

17. Governing law

These Terms are governed by the laws of [Jurisdiction]. Any dispute will be subject to the exclusive jurisdiction of the courts of [Jurisdiction], unless mandatory consumer protection law provides otherwise. We will always try to resolve any disagreement informally first.

18. Contact

If you have any questions about these Terms, please email [email protected].
